If you are thinking of heading for an e-form package to keep the costs low, then our current amazing deal is a FREE company formation with Barclays business bank account. Simply register for our Barclays eForm Package and pay the £34+VAT price. Your local Barclays will then contact you to set up your bank account and when we are advised by Barclays that the account has ben set up from our referral, we will refund the £34+VAT back to you. Its that simple. To take advantage of this, you cannot be an existing Barclays customer. We are notified monthly of the registrations from the previous month so refunds happen after we have been advised of the completion.
When you form your limited company with The Company Merchant Ltd, all Companies House filing fees and postage to UK destinations is included in the price. We also file a copy of your Memorandum and Articles documents with Companies House as part of the formation service.

Post is sent out as First Class Royal Mail. It is possible during the formation process to choose to add Recorded Delivery or Special Delivery to your package for an extra charge (UK destinations only). Platinum Package documents are posted out by Special delivery as standard.
All documentation - company incorporation certificate and Memorandum and Articles of Association (legal documents for the company) are emailed to you automatically for every company formation you do. Should you ever lose your originals you still have a copy electronically, and even several years after the company is formed we will do our best to provide you with re-printed documents as we keep your documents on file for several years.
People are often confused about the Memorandum and Articles documents. They are the legal documents for the company but in short, they basically say what you can and cannot do within the company. For normal trading companies buying and selling products or services for profit (called a Limited By Shares company) they are probably documents you will not need to look at and will file them away. However if you are forming a Limited By Guarantee company (charity or non profit making) these legal documents are much more important and are issued by Charities Commission. A set needs to go to Companies House (we do that for you) and supply printed and bound sets of Memorandum and Articles bound with a black backing and clear front page. One copy is provided for Bronze and 2 for Silver and Gold and 3 for Platinum. eForms rely on emailing you the documents for you to print yourself. Some companies supply you with 5 sets of these documents but there is no need for any more than 3, coupled with an emailed set.

Incorporation certificates should be issued on 160 gsm Ivory card (standard paper is usually 80gsm so its twice as heavy). Whilst its possible to get this card from office supply shops, the benefits of either buying a package which includes this or paying the £3.99+VAT for a posted copy. Gold and Platinum orders have the certificate laminated for protection.

A Company Register is a legally required book that the company needs. Its aim is for you to keep your own records of who is a director, secretary or shareholder, if any mortgages are taken out by the company that you keep track of them etc. It also includes share certificates that you can write out and issue to shareholders. We supply an email (PDF document) company register for eForm and Bronze Packages, a hardbacked register (glue bound) which keeps all pages together (for Silver package), and Looseleaf (can slot extra pages in, like meeting minutes) for Gold and Platinum.
Companies have meetings and when they have meetings they have someone taking notes of the meeting called minutes. The first minutes basically log the fact that a company has been formed. For eForm and Bronze packages we email the minutes to you. For Silver, Gold and Platinum they are printed.
When a company is formed and you approach a bank for a new business bank account, they will check Companies House to find out who the directors of a company are, however they cannot easily verify a list of shareholders. With our Silver, Gold and Platinum packages, we include a signed shareholder confirmation letter which confirms to any organisation like a bank that we have formed the company on your behalf with Companies House and confirm who the officers of the company are, including shareholders. It can sometimes be harder to obtain bank accounts without this, depending on how much checking the bank likes to do, however we advise customers to think of the Silver package as the ideal base, unless they are forming the company for dormant use, in which case we'd recommend Bronze.

If you are a small company, expecting to do under £68,000 turnover in a 12 month period you do not have to register for VAT. However, many companies opt to register voluntarily because dealing with bigger business that are VAT registered and those VAT registered companies may be less likely to deal with you if you are not VAT registered (as this denotes you as a small company).
