Limited By Guarantee Companies for Clubs and Associations

The majority of company formations carried out by Companies House are called Limited By Shares and are designed to allow you to operate a company with the aim of making a profit and earning money, however some people who want to form companies for use as a club or association (not for profit) and maybe obtain charitable status and for this you need a Limited By Guarantee company. The members (would be shareholders in a Limited by shares company) agree to the memorandum of association rather than guaranteeing to pay money for shares.

If you are looking to start a new company which is a "not for profit" company, such as a club or an association, you need to form a company Limited By Guarantee, rather than Limited By Shares. The process is very similar to a normal financially trading company, and we have the legal documents prepared to allow you to form a club / association online , or for a company to eventually be formed into a charity.

What are your options?

If you are looking to start a new charity which is a "not for profit" company, you need to form a company Limited By Guarantee, rather than Limited By Shares and then apply to the Charities Commission for approval.

before continuing. Trustees of the charity have responsibilities different to that of directors in a trading company and being aware of the requirements will help you to determine if a charity is the best option for you.

The Charities Commission supply a standard set of Memorandum and Articles which we have incorporated into our system to help ease the process of you becoming a charity, however they supply various options within these documents. Please view the Memorandum and Articles document at http://www.charitycommission.gov.uk/Library/guidance/gd1text.pdf to review which options you require. The memorandum option primarily relates to whether directors can be paid for services (options 1 and 2) and the articles options relate to the indemnity of directors and/or officers (options 1a,1b, 2 and 3). We would advise speaking directly to the Charities Commission if you are unsure which option would best suit your requirements.

NOTE: We cannot actually register the charity for you as the Charities Commission need to speak to the officers of the company. We will form a limited by guarantee company with all the suitable wording in for your company documents to be assumed to be a charity but the Charities Commission have an easy to use downloadable application form for charity status once the company has been formed.

A charity has a specific purpose. This is called its "Objects". What are its objectives ? Whereas a normal limited company for trading and doing business can have a common set of objectives, regardless of whether the company is selling building materials or candy sweets for children, Limited by guarantee companies each have a specific purpose. In order to form a company suitable for later charitable application, you need to define its Objects and these need to be added to the legal documents we supply as standard.
